The M&A market is becoming increasingly active. In this seminar, attorney Shunsuke Inoue of Hibiya Nakata Law Office, who is one of the authors of ``Explanation of Issues in Cross-Border M&A Legal Practice'' (Shoji Homu) published last year, will discuss due diligence, which is particularly important in M&A. We will provide explanations based on actual examples, including the perspectives of human rights and ESG, which have been attracting particular attention recently, and will also discuss more practical content that was not (or could not) be written about in books.

As an M&A and JV expert, he has been involved in over 100 projects both domestically and internationally, leading many to success. He has published numerous essays and seminars on M&A, competition law, etc. He came to his current position after working at Nagashima Ohno & Tsunematsu Law Firm and Freshfields Bruckhaus Deringer. He is a lecturer for non-graduate students at the University of Tokyo Law School. His publications include ``Cross-border M&A Legal Practice'' (Shoji Homu, co-author).
