In M&A acquisitions, it is important to not only understand how a target company uses personal information and its security measures in place, but also to quickly set the scope of due diligence (comprehensive privacy DD or limited in scope), and conduct it, reflect issues found through due diligence to negotiations and documentation, and recognize post-integration issues as they arise.
This is why a working knowledge of major provisions of applicable privacy regulations is essential, including how to spot and resolve typical issues needing careful attention, with awareness of the various national or U.S. state privacy regimes that may apply depending where the target company conducts business.
In this webinar, we will provide an overview of the current privacy regulations in the United States, comparing them with Japan's Personal Information Protection Law and Europe's GDPR regulations, and also discuss matters that Japanese companies should keep in mind when acquiring US companies. will be explained for each M&A transaction process.
